These Terms of Service ("Terms") govern your use of the Raisepath platform (the "Service"), operated by Blue Ribbon Innovations LLC, a Wyoming limited liability company ("Raisepath," "we," "us," or "our").
By accessing or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
1. Eligibility
You must be at least 18 years old and legally able to enter contracts to create an account. If you create an account on behalf of an organization (school, district, nonprofit), you represent that you are authorized to bind that organization to these Terms.
2. Account Responsibilities
You are responsible for:
- Maintaining the confidentiality of your login credentials
- All activity that occurs under your account
- Notifying us immediately of any unauthorized access
- Keeping your account and organizational information accurate and up to date
Organizations are solely responsible for maintaining accurate admin and user access. This includes:
- Adding and removing admin users as personnel change
- Updating payout information when bank accounts or mailing addresses change
- Ensuring authorized personnel have appropriate access levels
- Promptly revoking access for departing staff
Raisepath is not liable for any loss, damage, or unauthorized payouts resulting from an organization's failure to maintain accurate user access, including: outdated admin assignments, untrained users, neglected bookkeepers, unauthorized payout-account changes by current or former staff, or any other personnel-related lapses.
3. Acceptable Use
You agree NOT to use the Service to:
- Upload content that is violent, sexual, racist, hateful, harassing, obscene, or otherwise objectionable
- Upload content that infringes any third party's intellectual property rights
- Misrepresent yourself, your organization, or the purpose of any fundraising campaign
- Solicit donations for fraudulent or misleading purposes
- Use the Service for any illegal activity
- Attempt unauthorized access to the Service or other users' accounts
- Reverse engineer, decompile, or scrape the Service
- Use automated systems without our written permission
- Send spam, phishing, or unsolicited communications
We reserve the right to monitor content and to remove any content or suspend any account that violates these Terms, at our sole discretion and without prior notice.

4. Fundraising and Money Handling
Donations and Payments
- The Service facilitates donations and product sales between donors and your organization.
- Payments are processed by Stripe under their terms.
- A platform fee of 12.5% (paid by the donor on top of the donation amount) is collected on donations and ticket sales.
- Keepsake and product purchases include the school's chosen markup plus platform fees.
- Sales tax on physical goods and admissions is collected as required by law via Stripe Tax.
Donor Information
Donors agree that their name, donation amount, and any included message may be visible to the recipient organization.
Refunds
See our separate Refund and Return Policy for full details. In summary:
- Donations are generally final but may be refunded under specific circumstances
- Tickets are non-refundable
- Physical goods may be refunded or replaced if defective or damaged in shipping
- Customized items are non-refundable unless damaged in shipping or platform error
- Donation refunds return the donation amount only; the 12.5% platform fee is retained
5. Payouts
Raisepath collects donor payments and pays them out to your organization on the following schedule:
Monthly payouts on the 15th of each month for funds collected during the previous calendar month.
- Default payout method is paper check via Checkbook.io
- Alternative methods (ACH, Stripe Connect Express) available upon request
- Earlier payouts may be requested in writing and granted at our discretion
- Payouts may be delayed for fraud investigation, disputes, or legal holds
You are responsible for ensuring payout information on file is current and accurate. Raisepath is not liable for payouts sent to outdated or incorrect addresses or bank accounts that you provided.

6. Fees
- Platform fee: 12.5% of donation amount, paid by the donor at checkout
- Stripe processing fees: Approximately 2.9% + $0.30 per transaction, deducted from the platform fee
- Optional services: Custom domains, SMS, advanced features may incur additional fees as published in our pricing
- Onboarding fees: Districts may incur one-time onboarding fees based on the number of schools
We may change our fee structure with 30 days' notice.
7. Intellectual Property
- Your content: You retain ownership of all content you upload. You grant Raisepath a non-exclusive, royalty-free license to host, display, and distribute your content as needed to operate the Service.
- Our content: The Raisepath platform is owned by Blue Ribbon Innovations LLC and protected by copyright, trademark, and other laws. You may not copy, modify, or distribute any part of the Service without our written permission.
8. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:

BLUE RIBBON INNOVATIONS LLC AND ITS OFFICERS, MEMBERS, EMPLOYEES, AND AGENTS ARE NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.

OUR TOTAL LIABILITY FOR ANY CLAIM IS LIMITED TO THE GREATER OF (A) $100 OR (B) THE TOTAL FEES YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM.

WE ARE NOT LIABLE FOR LOSSES CAUSED BY YOUR FAILURE TO MAINTAIN ACCURATE USER ACCESS OR PAYOUT INFORMATION.

WE ARE NOT LIABLE FOR THIRD-PARTY SERVICES (STRIPE, RESEND, CHECKBOOK.IO, ETC.) OR THEIR OUTAGES, ERRORS, OR ACTIONS.
10. Indemnification
You agree to indemnify and hold harmless Blue Ribbon Innovations LLC and its officers, members, employees, and agents from any claims, damages, losses, liabilities, and expenses arising from your use of the Service, your violation of these Terms, your violation of any law or third-party rights, content you upload, or any inaccurate information you provide.
11. Termination
- You may terminate your account at any time by contacting support@[YOUR_DOMAIN].
- We may suspend or terminate your account immediately if you violate these Terms.
- Pending payouts will be issued according to the normal schedule unless held due to investigation.
12. Governing Law
These Terms are governed by the laws of the State of Wyoming. Any dispute must be resolved in the state or federal courts of Wyoming.
13. Changes to Terms
We may update these Terms from time to time. Material changes will be announced via email or platform notification at least 14 days before taking effect.
14. Miscellaneous
- Entire agreement: These Terms, along with our Privacy Policy, Refund Policy, Shipping Policy, Acceptable Use Policy, and Payout Agreement, constitute the entire agreement between you and Raisepath.
- Severability: If any provision is found unenforceable, the rest remains in effect.
- Assignment: You may not assign these Terms without our consent.
